Our Agreement With You.

These Terms of Service ("Terms") govern your access to and use of the Digital Solutions Edge by Thrinspire website, blog, consulting services, training programmes, digital resources, frameworks, and any associated platforms or communication channels operated by Digital Solutions Edge by Thrinspire ("DSE by Thrinspire," "we," "us," or "our").

These Terms apply to all users of our platform, including casual readers, registered users, consulting clients, training participants, resource purchasers, and partnership contacts. Different service categories carry additional terms detailed in the relevant sections below, and any applicable service agreement or engagement letter issued by DSE by Thrinspire supplements but does not replace these Terms.

This agreement is governed by the laws of the Federal Republic of Nigeria, without prejudice to any applicable international legal instruments where relevant to cross-border service delivery.

Digital Solutions Edge by Thrinspire is an independent content platform, publishing enterprise, and consulting agency. Digital Solutions Edge by Thrinspire is a Thrinspire Initiative operating at the intersection of technology, media, and education. We create practical, research-driven content and deliver structured advisory, training, and publishing services to individuals and organisations seeking measurable digital progress.

Our work is guided by the KPV Vision - Kingdom-aligned, People-empowering, and Value-generating - and structured around a clear operational framework built on three pillars: Clarity, Capacity, and Consistency.

Our audiences and clients include authors, entrepreneurs, content creators, marketers, learning designers, educators, students, developers, consultants, and organisations navigating digital transformation. These Terms apply to all current and future services offered under the Digital Solutions Edge by Thrinspire brand, including but not limited to:

• Blogging & Editorial Content - long-form guides, analytical articles, SEO-driven reviews, framework documentation, and industry commentary published on our platform.
• Consulting Services - digital strategy development, EdTech integration planning, workflow optimisation, brand positioning, productivity systems redesign, and impact measurement.
• Resources & Digital Products - e-books, toolkits, templates, workbooks, checklists, strategic playbooks, digital planners, and frameworks available in free or paid formats.
• Training & Capacity Building - virtual and in-person workshops, corporate training sessions, masterclasses, curriculum design services, and institutional capacity-building programmes.
• Partnerships & Advertising - editorial partnership arrangements with brands, software providers, educational products, and digital service providers via our BizPass247 sub-initiative.

The specific scope, duration, deliverables, and commercial terms of consulting and training engagements are defined in individual service agreements or engagement letters issued by DSE by Thrinspire. In the event of any conflict between a specific service agreement and these Terms, the service agreement prevails only to the extent of that conflict.

All content published on or associated with Digital Solutions Edge by Thrinspire - including articles, guides, graphics, visual identity elements, brand assets, strategic documents, training materials, templates, workbooks, and resource publications - is the exclusive intellectual property of Digital Solutions Edge by Thrinspire and is protected under applicable copyright, trademark, and intellectual property laws.

You may not, without prior written permission from DSE by Thrinspire:

• Reproduce, distribute, republish, or repost any DSE by Thrinspire content in any medium or format.
• Modify, adapt, translate, or create derivative works based on DSE by Thrinspire content.
• Use DSE by Thrinspire content, frameworks, or brand assets for commercial purposes.
• Remove or obscure any copyright, attribution, or proprietary notices from DSE by Thrinspire materials.
• Systematically scrape, archive, or data-mine content from the DSE by Thrinspire platform.
• Misrepresent the source or origin of any DSE by Thrinspire content or framework.

Any unauthorised use of DSE by Thrinspire's intellectual property constitutes an infringement and may result in legal action. DSE by Thrinspire reserves all rights not expressly granted under these Terms.

Digital Solutions Edge by Thrinspire has developed and continues to develop a suite of proprietary operational and analytical frameworks. These frameworks represent significant intellectual investment and constitute core intellectual property of DSE by Thrinspire. They are protected under copyright law and may not be replicated, repackaged, taught, or commercialised without explicit written authorisation from DSE by Thrinspire.

THRIVE 247 Frameworks

The THRIVE 247 Frameworks is the foundational strategic model governing all content creation, consulting delivery, training design, and brand building at Digital Solutions Edge by Thrinspire. It provides a structured, action-oriented methodology for turning digital complexity into clear, measurable advantage. All DSE by Thrinspire content is built around this framework. References to, adaptations of, or derivative works using the THRIVE 247 Frameworks require prior written consent from DSE by Thrinspire.

FACCT Framework

The FACCT Framework is a proprietary content and consulting quality assurance model used internally at DSE by Thrinspire to ensure that all outputs - whether editorial, advisory, or educational - meet the standards of Clarity, Care, Competence, Reliability, and Impact that define the DSE by Thrinspire brand experience. It guides our approach to content architecture, audience alignment, and strategic communication.

VPB Framework

The VPB Framework - comprising Vision Realisation, Project Execution, and Brand Building - is DSE by Thrinspire's enterprise development model. It defines how we design strategy (KPV Vision), execute projects across four primary categories (Blogging, Consulting, Resources, Training), and build a magnetic brand through the B-SIE system (Brand Strategy, Identity, and Experience). This framework is used in consulting engagements where clients engage DSE by Thrinspire for enterprise or brand development work.

All users of the DSE by Thrinspire platform are expected to engage responsibly, ethically, and in good faith. You agree not to:

• Use the platform for any unlawful, deceptive, or harmful purpose.
• Attempt to gain unauthorised access to any part of the DSE by Thrinspire platform, systems, or data.
• Introduce viruses, malicious code, or any disruptive technology to the platform.
• Harass, impersonate, or misrepresent DSE by Thrinspire, its team, or other users.
• Submit false, misleading, or fraudulent information in any inquiry, application, or engagement form.
• Reverse-engineer, decompile, or extract proprietary elements from DSE by Thrinspire's platform or resources.
• Use automated tools, bots, or crawlers to access or collect data from the DSE by Thrinspire platform without authorisation.
• Use DSE by Thrinspire's name, brand identity, or frameworks to misrepresent your own credentials, products, or services.

DSE by Thrinspire reserves the right to restrict, suspend, or terminate your access at its sole discretion if you are found to be in breach of these conduct standards, without liability to you.

All editorial content published on Digital Solutions Edge by Thrinspire is produced with integrity, grounded in research, and reviewed against the standards of the FACCT Framework and THRIVE 247 principles. We aim to publish content that is accurate, actionable, and current. However, the digital landscape evolves rapidly, and users acknowledge that:

• Published content reflects the knowledge and conditions available at the time of writing.

When you engage Digital Solutions Edge by Thrinspire for consulting services, you enter into a professional service relationship governed by both these Terms and any specific engagement letter, proposal, or service agreement issued by DSE by Thrinspire. The following provisions apply to all consulting work:

• Diagnostic Phase: All engagements begin with an assessment phase. Clients are expected to provide accurate, timely, and complete information. DSE by Thrinspire's recommendations are only as reliable as the information provided.
• Deliverables: Scope, timelines, and deliverables are defined in the engagement agreement. Changes to scope must be agreed in writing and may affect fees and timelines.
• Confidentiality: DSE by Thrinspire treats all client information as confidential and will not disclose it to third parties without your consent, except as required by law or where necessary to deliver the engagement.
• Client Obligations: Clients are responsible for implementation. DSE by Thrinspire provides strategy, recommendations, and frameworks. The outcomes depend substantially on client execution.
• Fees & Payment: Consulting fees are defined in the engagement agreement. Late payment may result in suspension of work. DSE by Thrinspire reserves the right to charge reasonable late payment interest.
• Independent Relationship: Consulting engagements do not create an employment, partnership, or agency relationship between the client and DSE by Thrinspire.

DSE by Thrinspire's consulting engagements are outcome-oriented. Every project is anchored to defined success metrics established during the diagnostic phase. Clients are encouraged to provide honest feedback throughout the engagement to ensure results are on track.

DSE by Thrinspire delivers outcome-based training through workshops, corporate sessions, masterclasses, and institutional capacity-building programmes. All training participants and commissioning organisations agree to the following:

• Training materials, curricula, slides, workbooks, and frameworks shared during any DSE by Thrinspire training session remain the intellectual property of DSE by Thrinspire and may not be reproduced, distributed, or used for commercial purposes without written authorisation.
• Recording, streaming, or screenshotting any live or virtual DSE by Thrinspire training session is prohibited without express written consent.
• Participants are expected to engage respectfully and constructively. DSE by Thrinspire reserves the right to remove disruptive participants from sessions without refund.
• Institutional training programmes are governed by a separate training agreement specifying objectives, deliverables, schedules, and evaluation criteria.
• Certificates or completion records issued by DSE by Thrinspire are non-transferable and reflect individual participation only.

Cancellation and rescheduling policies are detailed in your training agreement or booking confirmation. Cancellations made less than 72 hours before a session may forfeit any applicable deposit.

Digital Solutions Edge by Thrinspire makes available a range of digital resources including e-books, toolkits, templates, strategic playbooks, workbooks, and frameworks in both free and paid formats. By accessing or purchasing any DSE by Thrinspire digital resource, you agree that:

• Resources are licensed, not sold. You receive a limited, personal, non-exclusive, non-transferable licence to use the resource for your own purposes.
• Reselling, redistributing, sublicensing, or publicly sharing paid resources in any format is strictly prohibited.
• Resources may be updated over time. DSE by Thrinspire is not obligated to notify you of updates, but will endeavour to provide access to updated versions where practicable.
• Due to the digital nature of our products, all sales are final. Refunds will only be considered where a product is materially defective or significantly misrepresented.
• Free resources remain subject to DSE by Thrinspire's intellectual property rights. Free access does not grant any additional usage rights beyond personal reference.

Digital Solutions Edge by Thrinspire may link to, review, or recommend third-party products, platforms, software, and services as part of our editorial content and consulting guidance. You acknowledge that:

• Third-party links are provided for convenience and informational purposes. DSE by Thrinspire does not control third-party websites and is not responsible for their content, privacy practices, or availability.
• Some content on the DSE by Thrinspire platform may include affiliate arrangements. We may earn a commission if you purchase through certain links, at no additional cost to you. Such arrangements do not influence our editorial standards or recommendations, which remain governed by the FACCT Framework.
• Sponsored or partnership content is clearly identified as such on the platform. Our editorial content and sponsored content are kept distinct.
• Inclusion of a third-party product or service in DSE by Thrinspire content does not constitute a blanket endorsement. Recommendations are context-specific and based on available information at the time of publication.

• Platform availability is not guaranteed. DSE by Thrinspire may suspend, modify, or discontinue any part of the platform or service offering at any time without notice.

Digital Solutions Edge by Thrinspire collects, processes, and stores user data in accordance with our Privacy Policy, which is published on our platform and incorporated into these Terms by reference. Key commitments include:

• We collect only the data necessary to deliver our services and improve your experience.
• We do not sell your personal data to third parties.
• Consulting and training client data is treated with strict confidentiality.
• You have the right to request access to, correction of, or deletion of your personal data held by DSE by Thrinspire, subject to applicable legal requirements.
• Our platform may use cookies and similar tracking technologies. By using the platform, you consent to our cookie policy as outlined in the Privacy Policy.

DSE by Thrinspire reserves the right to suspend or terminate your access to any part of its platform, services, or resources at its sole discretion, with or without notice, if:

• You breach any provision of these Terms.
• You engage in conduct that DSE by Thrinspire reasonably determines to be harmful, deceptive, or damaging to the platform, its users, or its brand integrity.
• You fail to meet payment obligations under any service agreement.
• Continued provision of service becomes unlawful or impractical.

Upon termination, your licence to access DSE by Thrinspire resources and services ceases immediately. Provisions of these Terms that by their nature should survive termination - including intellectual property rights, disclaimers, and limitations of liability - will continue to apply.

You may discontinue your use of the DSE by Thrinspire platform at any time. If you wish to formally close a consulting or training engagement, refer to the terms in your relevant service agreement.

Digital Solutions Edge by Thrinspire reserves the right to update, amend, or replace these Terms of Service at any time. When material changes are made, we will update the "Last Updated" date at the top of this document. Where practicable, we may provide additional notice through the platform or via email to registered contacts.

Your continued use of the DSE by Thrinspire platform, services, or resources after any update constitutes your acceptance of the revised Terms. If you do not agree with any amendment, you must discontinue use and, where applicable, notify DSE by Thrinspire of your intention to end your service engagement.
